These Terms of Use ("Terms") are an agreement between you and SAGE Inc., a Delaware corporation ("SAGE," "we," "us" or "our") and a public benefit company that reads the risk of every farm field with AI. They cover your use of our website at sage.ag, our waitlist, and signing in to our app at app.sage.ag (together, the "Services"). Please read them together with our Privacy Policy, which explains how we handle personal information.
1. Accepting these terms
By using the Services, you agree to these Terms. If you do not agree, please do not use the Services.
If you use the Services on behalf of a farm, company or other organization, you confirm that you have authority to accept these Terms for it, and "you" includes that organization.
2. Who may use SAGE
You must be at least 18 years old, or the age of majority where you live if that is higher, to join the waitlist, contact us through the form or create an account. The Services are not directed to children. You may not use the Services if the law prohibits you from doing so.
The Services are designed for agriculture in the United States. If you use them from somewhere else, you are responsible for following your local laws.
3. What the website is, and is not
Our website explains what SAGE does and lets you get in touch. It is informational.
Not an offer of insurance
SAGE is not an insurer, insurance agent or broker, and nothing on the website is an offer, solicitation or sale of insurance. SAGE, Aon and AgriCap are bringing precision crop insurance, with coverage priced field by field, to US corn and soybean growers beginning next year. Aon designs and finances the insurance, and AgriCap brings it to growers through its network of crop insurance agents. Insurance will be offered only through licensed partners, subject to their own terms, underwriting, availability and state law, and it may not be available in every state or to every grower.
Not professional advice
Nothing on the Services is agronomic, financial, legal, tax or insurance advice, or other professional advice. SAGE gives you information to support your own judgment. Please consult qualified advisors before making decisions about your operation, your coverage or your finances. Those decisions remain yours.
Illustrative estimates and maps
Risk readings, scores, estimates, examples and maps on the website show how SAGE works. They may use sample data, may be approximate or out of date, and are not a statement about any particular field, a forecast to rely on, or a price or quote. Aerial photographs may not reflect current conditions on the ground.
Plans can change
Descriptions of future products, programs, partners and timing reflect our current plans and may change.
4. Accounts
If you have a SAGE account, you agree to:
- give accurate information and keep it up to date;
- keep your password private and not share your account;
- tell us right away at info@sage.ag if you think someone has used your account without permission; and
- take responsibility for activity under your account that you authorize or that results from you not keeping your password safe.
The SAGE app may come with its own terms of service, data agreement or order form. If it does, those terms govern your use of the app and control wherever they conflict with these Terms.
5. Your data in the app
Farm data you share in the app, such as field boundaries, yield, planting records, soil tests and practices, remains yours. You give SAGE permission to use it to provide the service to you and to the people you authorize, and, in de-identified and aggregated form only, to improve our models, as our Privacy Policy describes. You can revoke access and ask us to delete your data at any time.
You confirm that you have the right to share the data you share, for example because you farm those fields or have permission from the owner or operator.
6. The waitlist
Joining the waitlist tells us you are interested. It does not guarantee access to the app, a particular place in line, timing, features or pricing. We may invite people in any order we choose, for example by region, crop or role. You can leave the waitlist at any time by asking us.
7. Acceptable use
Please use the Services fairly and lawfully. You agree not to:
- scrape, crawl or harvest content, imagery, maps or data from the Services by automated means, except for ordinary search engine indexing of public pages;
- copy, reverse engineer, decompile or disassemble the Services, or try to extract their source code or models, except where the law expressly allows it;
- use content or outputs from the Services to build a competing product or to train a competing model;
- probe, scan or test the vulnerability of the Services, or get around security, spam protection, rate limits or sign-in;
- interfere with or overload the Services, or introduce malware or other harmful code;
- access another person's account or data without their permission;
- submit false information, spam or unsolicited advertising through the form, the waitlist or any other part of the Services;
- misrepresent who you are, claim an affiliation with SAGE or our partners that you do not have, or suggest that SAGE endorses you; or
- use the Services for anything unlawful or in a way that infringes the rights of others.
If you find a security problem, please tell us at info@sage.ag instead of testing it further.
8. Intellectual property
The Services, including the SAGE name, logo, marks and glyphs, our design, text, graphics, software and other content, belong to SAGE or its licensors and are protected by law. We give you a limited, personal, non-exclusive, non-transferable and revocable permission to view and use the website for its intended purpose. You are welcome to share links to our pages. You may not use our name, logo, marks or glyphs without our written permission.
Third-party imagery and marks
Some imagery on the Services comes from public sources, including the USDA (such as aerial photographs from the National Agriculture Imagery Program) and NASA, and from other public-domain or CC0 sources. Their original terms govern any use of that imagery, and its use on our site does not imply endorsement by any agency. Place search results come from OpenStreetMap, © OpenStreetMap contributors, and are available under the Open Database License. Our partners' names and logos, including those of Aon and AgriCap, belong to their respective owners, and these Terms give you no right to use them.
9. Feedback
We welcome your ideas and suggestions about SAGE. If you send us feedback, you give us a perpetual, irrevocable, worldwide, royalty-free right to use it for any purpose, without any obligation to you. Feedback does not include your farm data or personal information, which we handle under our Privacy Policy.
10. Third-party links and services
The Services link to, or rely on, services we do not control. These include OpenStreetMap's Nominatim geocoding service, which powers place search on our map, Microsoft Planetary Computer, which delivers the aerial photographs, and our partners' websites and services. Those services have their own terms and privacy policies. We are not responsible for their content, availability or practices, and parts of the Services may not work when they are unavailable.
11. Disclaimers
We work hard to make SAGE useful and accurate, but weather, crops and markets are uncertain and no model can predict them perfectly. The Services are provided "as is" and "as available." To the fullest extent the law allows, SAGE disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title and non-infringement, and any warranties arising from a course of dealing or usage of trade.
We do not promise that the Services will be uninterrupted, secure or free of errors, that any information on them (including risk readings, estimates, maps and imagery) will be accurate, complete or current, or that any defect will be corrected. Some jurisdictions do not allow certain warranties to be disclaimed, so some of these disclaimers may not apply to you.
12. Limitation of liability
To the fullest extent the law allows, SAGE and its directors, officers, employees, agents, licensors and service providers will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of profits, revenue, crops, yield, data or goodwill, arising out of or relating to the Services or these Terms, even if we were told such damages were possible.
To the fullest extent the law allows, our total liability for all claims arising out of or relating to the Services or these Terms is limited to the greater of (a) the amount you paid SAGE for the Services in the 12 months before the claim arose, or (b) USD 100.
These limits apply to every legal theory, whether contract, tort (including negligence), strict liability or anything else, and even if a remedy fails of its essential purpose. They do not limit liability that the law does not allow to be limited, such as liability for fraud.
13. Indemnity
To the extent the law allows, you will defend, indemnify and hold harmless SAGE and its directors, officers, employees and agents from any claims, losses, liabilities, damages and costs (including reasonable attorneys' fees) arising out of (a) your misuse of the Services, (b) your breach of these Terms, (c) your violation of any law or of the rights of others, or (d) data or content you submitted that you did not have the right to share. We will tell you about any such claim, and we may take part in the defense with counsel of our choice.
14. Governing law and disputes
These Terms are governed by the laws of the State of Delaware and applicable US federal law, without regard to conflict of laws rules.
If a dispute comes up, please contact us first at info@sage.ag. We will try in good faith to resolve it informally within 30 days. If we cannot, any lawsuit arising out of or relating to these Terms or the Services must be brought only in the state or federal courts located in Delaware, and you and SAGE consent to the personal jurisdiction of those courts. Either of us may ask any competent court for an injunction to protect intellectual property or the security of the Services.
Nothing in these Terms takes away rights you have under consumer protection laws that cannot be waived by contract.
15. Changes to these terms
We may update these Terms as SAGE grows. We will post the new version on this page and change the "Last updated" date. If a change is material, we will give you reasonable notice before it takes effect, by email or with a notice on the website. If you keep using the Services after a change takes effect, you accept the updated Terms. Changes do not apply to disputes that arose before they took effect.
16. Suspending or ending access
You may stop using the Services at any time, and you may close your account by contacting us. We may suspend or end your access if you breach these Terms, if the law requires it, or if we need to protect the Services, our users or others. We may also change or discontinue any part of the Services.
When access ends, we handle your information as described in our Privacy Policy. Sections 5, 8, 9 and 11 to 17 continue to apply after access ends.
17. General terms
- Entire agreement. These Terms, our Privacy Policy and any separate terms for the app are the entire agreement between you and SAGE about the Services, and they replace any earlier understandings on the same subject.
- Severability. If any part of these Terms is found unenforceable, that part will be enforced as far as possible and the rest of the Terms will remain in effect.
- No waiver. If we do not enforce a right or provision, that does not waive our right to enforce it later.
- Assignment. You may not transfer these Terms without our written consent. We may transfer them as part of a merger, acquisition, financing or sale of assets.
- Notices. We may send you notices by email or through the Services. You may send legal notices to info@sage.ag and to our mailing address in section 18.
- Interpretation. Headings are for convenience only, and "including" means "including without limitation."
18. Contact us
Questions about these Terms are welcome. Write to info@sage.ag, use our contact form, or send mail to SAGE Inc., Attn: Legal, 1015 Lemon St., Menlo Park, CA 94025. For privacy questions and requests, see our Privacy policy.
